Learning outcomes of the course unit

Aim: learning basic conditions for entreprenurialship, particularly with consideration of the future activity of the students as producers, either as persons or as an executive for a profit or non-profit corporation.

Completion of Law 2. Active participation in lecture.

Course contents

  1. Entrepreneurs and entreprenurialship. A basic excursion to entreprenurial law and commercial code. The relationship of the civil code to the commmercial code.
  2. Entrepreneurs - freelancers/self-employed
  3. Entrepreneurs - incorporated. Basic requirements for founding a corporation.
  4. Business negotiations - the difference between a corporation and an entrepreneur - freelancer/self-employed
  5. Corporation - individual forms of corporations, their advantages and disadvantages.
  6. Corporation - Individual forms of corporations. Obligations of partners in a corporation and their functions.
  7. The process of founding a corporation. Working with a Notary
  8. Non-profit entities - foundation, foundation funds, general benefit societies, community association and corporate associations. The difference as opposed to those not subject to the law.
  9. The procedure in concluding contracts, ending contracts
  10. Intention agreements, undefined contracts, basic types of contracts
  11. Contracts on a work - differences between contracts on a work according to civil code and commercial code
  12. Commission contracts, mandatory contracts with consideration of order contracts according to civil code
  13. Liability for damages in commercial law, business crimes

Assessment methods and criteria

Oral exam

Student grading will originate in the exam in which the student proves the ability to work with the commercial law and have a good bearing in entreprenurial law. To know the form of commercial companies and non-profit subjects and manage their characteristics and processes in their founding. As well the student can manage basic contract types, procedures in their conclusion and be able to apply individual contract types in the appropriate commercial situations. The student should also be acquainted with the fundamental types of tort. For successfull sitting of the exam at least 70% participation in lectures is required.

Note

This course is for 2nd and 3rd years together once every two years. It is scheduled for 2010/11.
